1. INTRODUCTION AND ACCEPTANCE

Please read the following terms and conditions of use ("Terms") carefully as the Terms are a legal agreement between you and West Monroe Partners, LLC (collectively "West Monroe"). If you do not agree to these Terms, please do not access or otherwise use this AI Site (as defined below).

By accessing or using any portion of the West Monroe AI microsite located at westmonroe.ai, including its subdomains and the interactive AI-powered tools and applications made available on it (collectively, the "AI Site"), you consent and agree that your access to or use of the AI Site is acceptance of these Terms and your access to or use of the AI Site is subject to and governed by the Terms and all applicable laws.

West Monroe may, without notice to you, at any time revise these Terms and information contained on the AI Site by updating this posting. West Monroe may also make alterations to, changes, or deletions of any product, service or program described on this AI Site at any time and for any reason without notice.

These Terms are effective as of June 4, 2026.

2. PRIVACY

Please review West Monroe's WestMonroe.ai Privacy Policy to understand West Monroe's privacy practices with respect to personally identifiable information that it may receive as a result of your access to or use of the AI Site. This privacy policy is only applicable to the AI Site, and you must review the privacy policies applicable to other West Monroe-controlled sites to understand the privacy practices applicable to them.

3. AI-POWERED TOOLS AND GENERATED OUTPUTS

The AI Site offers interactive tools that use artificial intelligence and generative AI to produce reports, estimates, scores, categorizations, and other outputs based on information you provide and on publicly available data ("AI Outputs"). By using these tools you acknowledge and agree to the following:

  • AI Outputs are generated in whole or in part by automated systems and generative AI. They are directional and illustrative only, may contain errors, inaccuracies, omissions, or other unreliable content, and should not be relied upon as a substitute for professional advice.
  • AI Outputs do not constitute professional, legal, financial, investment, tax, employment, or consulting advice; are not a valuation, forecast, audit, or recommendation; and do not create a client, advisory, or fiduciary relationship between you and West Monroe.
  • You are solely responsible for independently verifying any AI Output and for any decision you make or action you take based on it.
  • You represent and warrant that you have all rights and authorizations necessary to submit the information you provide to the tools, including any information about a third party or its business, and that your submission and use of the AI Outputs will not violate any applicable law or any third-party right, and will not disclose any confidential, proprietary, or personal information that you are not authorized to disclose.
  • As between you and West Monroe, West Monroe retains all right, title, and interest in and to the tools, their underlying models and methodologies, and the formats and templates of the AI Outputs. Subject to these Terms, West Monroe grants you a limited, non-exclusive, non-transferable, revocable license to use the AI Output generated for you for your internal business purposes. West Monroe may use de-identified or aggregated inputs and outputs to operate and improve the tools.
  • The warranty disclaimers and limitations of liability in these Terms apply fully to the tools and the AI Outputs.

4. ACCEPTABLE USE

You agree to access and use the AI Site, the AI tools, and the AI Outputs only for lawful purposes and in accordance with these Terms. You will not, and will not permit or encourage any third party to:

  • (a) use the AI Site in violation of any applicable law, regulation, or third-party right, or for any fraudulent, deceptive, harmful, or malicious purpose;
  • (b) submit to the AI tools any information or material that infringes or misappropriates any intellectual property, privacy, publicity, or other right, or that you are not authorized to disclose, including any confidential, proprietary, personal, or regulated information of any third party;
  • (c) submit any material that is unlawful, defamatory, obscene, harassing, or that contains any virus, malware, or other harmful code;
  • (d) attempt to gain unauthorized access to, interfere with, disrupt, or impair the AI Site, the AI tools, the underlying models, or any related systems, networks, or data, or circumvent or defeat any security feature, access control, usage limit, or rate limit;
  • (e) use any robot, spider, scraper, or other automated means to access, monitor, harvest, or copy any portion of the AI Site or any AI Output, except as expressly permitted by West Monroe in writing;
  • (f) reverse engineer, decompile, disassemble, or otherwise attempt to discover, extract, replicate, or derive the source code, models, methodologies, algorithms, weights, training data, or other underlying components of the AI tools or AI Outputs, or use the AI tools or AI Outputs to develop or train any competing product, model, or service;
  • (g) resell, sublicense, distribute, or commercially exploit the AI tools or AI Outputs, or use the AI Outputs other than for your internal business purposes as permitted under these Terms;
  • (h) remove, obscure, or alter any proprietary notice, disclaimer, or attribution on the AI Site or any AI Output, or represent any AI Output as professional advice or as the advice, opinion, or work product of West Monroe; or
  • (i) use the AI Site or AI Outputs in any manner that could damage, disable, overburden, or impair the AI Site or interfere with any other party's use of it.
  • West Monroe reserves the right, in its sole discretion and without notice or liability to you, to monitor use of the AI Site, investigate any suspected violation of these Terms, and suspend, restrict, or terminate your access to all or any part of the AI Site at any time and for any reason, including any actual or suspected violation of this section. The remedies in this section are in addition to, and do not limit, any other remedy available to West Monroe at law, in equity, or under these Terms.

5. CONFIDENTIALITY

Unless expressly stated otherwise herein, any and all information submitted by you through this AI Site, including without limitation Comments as defined herein, will be deemed non-confidential and non-proprietary and West Monroe will have no obligation or duty to maintain the confidentiality of such submissions. By sending West Monroe any information or material, you grant West Monroe an unrestricted, irrevocable license to copy, reproduce, publish, upload, post, transmit, distribute, publicly display, perform, disclose in any way, modify, create derivative works from, and otherwise freely use, those materials or information. You represent that you have the lawful right to submit all such information, including any information concerning a third party. Because of the open nature of the Internet and availability of this  AI Site  on the Internet, we recommend that you not submit information you consider confidential or proprietary.

6. WARRANTY

West Monroe makes no warranties or representations of any kind concerning this AI Site, the AI tools, the AI Outputs, or the information contained herein and, without limiting the foregoing, the Information and the AI Outputs are not promised or guaranteed to be correct, current, complete and maycontain technical inaccuracies or typographical errors. AI Outputs in particular are generated by automated systems and may contain errors, inaccuracies, or fabricated content. Accordingly, you should confirm the accuracy and completeness of all posted information and all AI Outputs before making any decision related to any services, products, or other matters described in this e AI Site.

THIS AI SITE AND THE INFORMATION, MATERIALS, PRODUCTS, AI OUTPUTS, OR SERVICES CONTAINED IN THIS AI SITE ARE PROVIDED "AS IS" AND WEST MONROE EXPRESSLY DISCLAIMS, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL EXPRESS, IMPLIED, STATUTORY OR OTHER WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (EVEN IF ADVISED OF THAT PURPOSE), INFORMATIONAL CONTENT, SYSTEMS INTEGRATION, INTERFERENCE WITH ENJOYMENT, OR OTHERWISE. WEST MONROE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF OR THE RESULT OF THE USE OF THE MATERIAL OR AI OUTPUTS IN THIS AI SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, TIMELINESS, OR OTHERWISE. USE OF THIS AI SITE IS AT YOUR SOLE RISK.

7. NO CLIENT RELATIONSHIP

Access to or use of this AI Site or any AI Output does not create a client relationship between West Monroe and you. The information and AI Outputs provided on this AI Site are free of charge, are not professional advice or advice of any kind, and are provided for informational purposes only. Any use you make of the information or AI Outputs provided on this AI Site is at your own risk.

8. INTELLECTUAL PROPERTY

The AI Site and all of its contents including, but not limited to, all text and images ("Content") , together with the AI tools, their underlying models and methodologies, and the formats and templates of the AI Outputs, are owned by or properly licensed to West Monroe with all rights reserved unless otherwise expressly noted. As between you and West Monroe, West Monroe owns the AI tools and the report format; subject to these Terms, you may use the AI Output generated for you for your internal business purposes. Nothing contained in this  AI Site shall be construed as conferring by implication, estoppel, or otherwise, any license or right to any copyright, patent, trademark or other proprietary interest of West Monroe or any third party.

9. ALLOCATION OF RISK AND DISCLAIMER OF LIABILITY

IN NO EVENT WILL WEST MONROE BE LIABLE TO YOU OR ANY PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY TYPE WHATSOEVER RELATED TO OR ARISING FROM THIS SITE AI SITE OR ANY USE OF THIS SITE AI SITE, THE AI TOOLS, OR ANY AI OUTPUT, OR OF ANY WEBSITE OR RESOURCE LINKED TO, REFERENCED, OR ACCESSED THROUGH THIS SITE AI SITE, OR FOR THE USE OR DOWNLOADING OF, OR ACCESS TO, ANY MATERIALS, INFORMATION, PRODUCTS, OR SERVICES, INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOST SAVINGS OR LOSS OF PROGRAMS OR OTHER DATA, EVEN IF WEST MONROE IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.THE FOREGOING DOES NOT AFFECT LIABILITIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to indemnify, defend and hold West Monroe, its affiliates and the officers, directors, employees, agents and representatives of West Monroe and its affiliates harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees), or other expenses that arise directly or indirectly out of or from (a) your violation of the Terms; (b) your use of the AI Site or any AI Output; (c) any information you submit to the AI tools, including any claim that such information infringes or misappropriates the intellectual property, privacy, confidentiality, or other rights of any third party; or (d) your violation of the rights of any third party or applicable law. West Monroe reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate reasonably with West Monroe's defense of that claim.

10. TERMINATION

West Monroe may, in its sole discretion and without notice or liability to you, suspend, restrict, or terminate your access to all or any part of the AI Site, the AI tools, or any AI Output at any time and for any reason, including any actual or suspected violation of these Terms. West Monroe may also modify, suspend, or discontinue the AI Site, the AI tools, or any AI Output, in whole or in part, at any time and without notice. Upon any termination, the rights and licenses granted to you under these Terms will immediately cease, and you must stop all use of the AI Site, the AI tools, and the AI Outputs. All provisions of these Terms that by their nature should survive termination will survive, including the provisions governing confidentiality, intellectual property, warranty disclaimers, allocation of risk and disclaimer of liability, indemnification, and governing law.

11. GOVERNING LAW

These Terms will be governed by the laws of the State of Illinois, without reference to its conflict of law rules, and both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Illinois. The AI Site is operated by West Monroe from the State of Illinois.
